Terms of Service
These Terms of Service govern access to and use of the eQuality platform and related services provided by Impact Environmental Information Technologies ("IEIT"). By accessing the platform, users agree to be bound by these terms.
By accessing or using the eQuality platform, website, or any services provided by Impact Environmental Information Technologies ("IEIT"), the user agrees to be bound by these Terms of Service and IEIT's Privacy Policy, incorporated herein by reference.
If access is provided pursuant to an institutional agreement or enterprise contract, the terms of that agreement govern to the extent they conflict with these Terms of Service. In all other respects, these Terms apply.
The eQuality platform is intended exclusively for institutional and professional use. Access is limited to individuals who:
- Are at least 18 years of age;
- Are acting in a professional or institutional capacity on behalf of a business, financial institution, insurance carrier, regulatory body, or related organization; and
- Have authority to bind the organization they represent to these Terms.
IEIT reserves the right to verify eligibility and to deny or revoke access at its discretion where eligibility requirements are not met.
Access to the eQuality platform requires account registration. Users are responsible for maintaining the confidentiality of their credentials and for all activity that occurs under their account.
- Account credentials must not be shared with or transferred to any other individual or entity.
- Users must notify IEIT immediately upon becoming aware of any unauthorized access or suspected compromise of account credentials.
- IEIT reserves the right to suspend or terminate accounts where unauthorized access, credential sharing, or platform misuse is detected.
Where access is provided through an institutional agreement, the institution is responsible for managing user access within its organization and ensuring that all authorized users have reviewed and agreed to these Terms.
Subject to these Terms, IEIT grants authorized users a limited, non-exclusive, non-transferable right to access and use the eQuality platform solely for the user's internal professional purposes, including:
- Submitting property information and generating eQuality scores for underwriting, lending, portfolio management, or related institutional purposes;
- Reviewing score outputs, domain decompositions, and associated metadata in connection with institutional decision-making; and
- Recording and documenting underwriting decisions within the platform workflow.
All use must comply with applicable law and IEIT's published policies. Access is provided for the user's own institutional use and may not be sublicensed, resold, or made available to third parties without IEIT's prior written consent.
Users must not engage in any of the following:
- Accessing, scraping, or extracting platform data through automated means, bots, or unauthorized scripts;
- Reverse engineering, decompiling, or attempting to derive the eQuality scoring formula or underlying model from platform outputs;
- Reproducing, distributing, or publicly disclosing eQuality score outputs in a manner that misrepresents their scope, limitations, or intended use;
- Using the platform for any purpose that violates applicable law, including environmental law, financial services regulation, or anti-discrimination law;
- Introducing malicious code, interfering with platform security, or attempting to gain unauthorized access to any part of the system;
- Using eQuality outputs as the sole or determinative basis for decisions that carry a legal obligation to consider additional factors under applicable law.
Users are responsible for the accuracy and completeness of all data submitted to the platform. IEIT does not independently verify submission data entered by users, including property addresses, parcel identifiers, ownership information, or environmental context disclosures.
By submitting data to the platform, users represent and warrant that:
- The submission data is accurate to the best of their knowledge;
- The user has authority to submit the data on behalf of any parties referenced therein; and
- The submission does not contain information that is false, misleading, or intended to manipulate score outputs.
IEIT reserves the right to flag, restrict, or remove submissions that appear inconsistent, incomplete, or potentially fraudulent. Submission records are retained in accordance with IEIT's governance framework and Privacy Policy.
eQuality score outputs are produced by a deterministic scoring model applied to submitted and regulatory data. All scores are issued under a specific model version and are subject to the methodology and governance rules documented in the eQuality Methodology documentation.
Score outputs are intended to serve as structured inputs to institutional decision-making processes - not as independent determinations of environmental condition, legal liability, regulatory compliance, or property value. They are not legal opinions, environmental site assessments, engineering reports, or regulatory findings.
Users assume full responsibility for decisions made in reliance on eQuality outputs. IEIT does not warrant that score outputs are complete, current, or appropriate for any specific transaction, jurisdiction, or regulatory purpose. Users are responsible for applying appropriate professional judgment and conducting such independent due diligence as their circumstances require.
Issued scores and associated decision records are retained in an immutable audit log and are not retroactively modified following issuance. Score outputs remain associated with the model version under which they were computed.
All intellectual property rights in and to the eQuality platform, including its scoring methodology, software, algorithms, documentation, user interface, and visual design, are owned by IEIT or its licensors. Nothing in these Terms grants users any ownership interest in IEIT's intellectual property.
Users retain ownership of data they submit to the platform. By submitting data, users grant IEIT a limited license to process, store, and use that data solely as necessary to provide the platform services described in these Terms.
eQuality score outputs generated for a user's submitted property data may be used by that user for their internal institutional purposes. Score outputs may not be repackaged, redistributed, or commercialized without IEIT's prior written consent.
THE EQUALITY PLATFORM AND ALL ASSOCIATED SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IEIT EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING:
- Any warranty of merchantability, fitness for a particular purpose, or non-infringement;
- Any warranty that the platform will be uninterrupted, error-free, or free of harmful components;
- Any warranty as to the accuracy, completeness, or timeliness of score outputs or underlying regulatory data; and
- Any warranty that score outputs will satisfy the requirements of any specific regulatory, legal, or transactional standard.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IEIT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO USE OF THE PLATFORM OR RELIANCE ON SCORE OUTPUTS, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR DAMAGES ARISING FROM UNDERWRITING, LENDING, OR INVESTMENT DECISIONS.
IN NO EVENT SHALL IEIT'S TOTAL AGGREGATE LIABILITY TO ANY USER EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY THAT USER TO IEIT IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
Some jurisdictions do not permit the exclusion or limitation of certain damages. In such jurisdictions, IEIT's liability is limited to the maximum extent permitted by law.
Users agree to indemnify, defend, and hold harmless IEIT and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:
- The user's access to or use of the platform;
- Any submission data provided by the user, including inaccuracies or misrepresentations;
- Decisions made by the user in reliance on eQuality score outputs; or
- The user's breach of these Terms or violation of applicable law.
IEIT may suspend or terminate a user's access to the platform at any time, with or without notice, for conduct that IEIT determines in its sole discretion violates these Terms, applicable law, or is otherwise harmful to IEIT, other users, or third parties.
Users may terminate their use of the platform at any time by ceasing to access it and, where applicable, providing written notice to IEIT. Termination does not affect the retention of submission records, score outputs, and decision logs maintained in accordance with IEIT's governance framework.
Sections addressing intellectual property, disclaimers, limitation of liability, indemnification, and governing law survive any termination of these Terms.
These Terms are governed by the laws of the State of New York, United States, without regard to its conflict of law provisions.
Any dispute arising out of or relating to these Terms or the eQuality platform shall be resolved through binding arbitration administered by a mutually agreed arbitral body under its then-current commercial arbitration rules. The place of arbitration shall be New York, New York. Judgment on the arbitral award may be entered in any court of competent jurisdiction.
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration.
IEIT reserves the right to modify these Terms at any time. Material changes will be communicated to registered users via email or prominent platform notice at least 14 days prior to taking effect. Continued use of the platform following the effective date of revised Terms constitutes acceptance of those Terms.
The effective date at the top of this document reflects the date of the most recent revision. Users are encouraged to review these Terms periodically.
